Terms of Service

These Terms of Service ("Terms") govern your access to and use of the LiaLoop application (the "Service"). By accessing or using the Service, you agree to be bound by these Terms.

1. Description of Service

LiaLoop is a comprehensive B2B software-as-a-service (SaaS) platform designed for project management, resource allocation, leave and claim management, financial margin tracking, payroll calculation, and invoicing.

2. Account Registration and Workspace Administration

Authentication: You must create an account via Firebase Authentication to use LiaLoop. You are entirely responsible for safeguarding your credentials and for all activities occurring under your account.

Workspace Owners and RBAC: LiaLoop utilises strict Role-Based Access Control (RBAC). The creator of a Workspace (Company) is deemed the "Workspace Owner." Owners and appointed Administrators are solely responsible for assigning appropriate roles and permissions (e.g., access to payroll records, project costs, or invoicing).

Internal Disputes: LiaLoop does not arbitrate disputes between Workspace Owners, Administrators, Members, and Viewers. We are not liable for any internal data exposure, data loss, or unauthorised modifications resulting from mismanaged workspace roles or internal company disputes.

3. Subscriptions, Billing, and Seat Management

Subscription Tiers & Trials: The Service may offer free trials and various subscription tiers. Upon the expiration of a trial, access to premium features will require an active, paid subscription.

Seat-Based Billing: Subscriptions are billed based on the number of active seats (users) within a Workspace. Workspace Owners can purchase additional seats at any time. Adding members beyond your current seat count requires upgrading your subscription or purchasing additional seats.

Refunds and Cancellation: Subscription fees, seat purchases, and other paid fees are non-refundable except where required by applicable law. You may cancel your subscription at any time through your account settings or the applicable app marketplace. Cancellation will take effect at the end of your current billing period, and you will continue to have access to paid features until then. No refunds or credits will be provided for any unused portion of a subscription period.

4. Financial, HR, and Compliance Disclaimer

LiaLoop provides tools to track project costs, generate invoices, log time, and calculate payroll snapshots. However, you acknowledge and agree that:

• Not Professional Advice: LiaLoop is not a certified public accountant, HR consultancy, or legal firm.
• User Responsibility: You are strictly responsible for verifying the accuracy of all financial data, tax rates, commission calculations, and payroll deductions generated by the Service.
• Regulatory Compliance: You are solely responsible for ensuring that your use of LiaLoop (including leave approvals, overtime tracking, and pay rates) complies with your local labour laws, tax regulations, and statutory reporting requirements.

5. User Content and Media Storage

Ownership: You retain full ownership of all text, data, files, and images (Content) you upload to LiaLoop.

License to Host: By uploading Content, you grant LiaLoop a worldwide, royalty-free license to use, host, store (via infrastructure such as Cloudflare R2 and Supabase), and display that Content strictly for the purpose of providing the Service.

Storage Limits: Your data storage is subject to the limits of your selected storage plan. We reserve the right to enforce quotas and request upgrades for excessive storage consumption.

6. Acceptable Use Policy

You agree not to:

• Use the Service for any illegal, fraudulent, or unauthorised purpose.
• Upload illegal, highly sensitive (e.g., protected health information), or copyrighted material for which you lack authorisation.
• Attempt to bypass, hack, or destabilise the Service, or upload malicious code.
• Reverse-engineer or attempt to extract the source code of the Service or its AI models.

7. Account Suspension and Termination

By LiaLoop: We may terminate or suspend your account and bar access to the Service immediately, without prior notice, if you breach these Terms.

Data Deletion: Upon account or workspace deletion, your data may be permanently deleted after the applicable retention period. It is your responsibility to export any data you wish (including projects, tasks, and files) to retain before requesting deletion or cancelling your subscription.

8. Data Backup and Export

While LiaLoop takes reasonable measures to protect your data, you are responsible for maintaining your own backups of important business information. Before cancelling your subscription or deleting your account, you should export any data you wish to retain. LiaLoop is not responsible for any loss of data following account deletion or the expiration of applicable data retention periods.

9. Service Availability

LiaLoop strives to provide a reliable and secure Service; however, we do not guarantee that the Service will be available at all times or be free from interruptions, delays, errors, or security vulnerabilities.

We may modify, suspend, restrict, or discontinue any part of the Service at any time for maintenance, security, legal compliance, operational improvements, or other business reasons. Where reasonably practicable, we will provide advance notice of planned maintenance or significant service changes.

10. Limitation of Liability

In no event shall LiaLoop, its directors, employees, or partners be liable for any indirect, incidental, special, consequential, or punitive damages. This includes, but is not limited to, loss of profits, data, use, goodwill, or other intangible losses resulting from:

• Your access to, use of, or inability to access the Service.
• Any unauthorized access to or alteration of your transmissions or data.
• Errors in payroll, tax calculations, or invoicing resulting from software bugs or user input.

11. Changes to These Terms

We may revise these Terms from time to time to reflect changes in our Service, applicable laws, or business practices.

When we make material changes, we may notify you through the Service, by email, or by other reasonable means. The updated Terms will become effective on the stated Effective Date. By continuing to access or use the Service after the updated Terms become effective, you agree to be bound by the revised Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Malaysia, without regard to its conflict of law principles.

Any dispute arising out of or relating to these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of Malaysia, unless otherwise required by applicable law.
